Terms and Conditions
Effective Date: 10 August 2026
1. INTRODUCTION AND ACCEPTANCE OF TERMS
Welcome to Salaamtix, operated by Salaamtix Pty Ltd (ABN 12 684 007 592) ("Salaamtix", "we", "us", "our"). Salaamtix is an online event ticketing and management platform built to serve values-led communities and organisers worldwide, providing a safe, inclusive and ethical environment in which to discover, organise and attend events.
By accessing or using the Salaamtix platform (the "Platform"), creating an account, listing an event, purchasing a ticket, or otherwise engaging with our services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms").
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.
These Terms apply to all users of the Platform, including Event Organisers and Attendees. These Terms should be read together with our Event Guidelines and our Privacy Policy, both of which are incorporated by reference.
2. DEFINITIONS
In these Terms, the following definitions apply:
- ACL: Australian Consumer Law.
- Attendee: A person who purchases or receives a Ticket to attend an Event listed on the Platform.
- Event: Any event, activity, gathering, or function listed on the Platform by an Event Organiser.
- Event Guidelines: The Salaamtix Event Guidelines.
- Event Organiser: A person or entity that creates an account and lists Events on the Platform.
- Free Ticket: A Ticket issued at no charge to the Attendee.
- Minor User: A User who is between 12 and 17 years of age (inclusive).
- Payment Processor: Any third-party payment processing service integrated with the Platform. A current list is available on the Pricing Page.
- Platform: The Salaamtix website (www.salaamtix.com), mobile applications, and related technology operated by Salaamtix Pty Ltd.
- Pricing Page: The fee and pricing information available on the Salaamtix website.
- Privacy Policy: The Salaamtix Privacy Policy.
- Referral Program Terms: The Salaamtix Referral Program Terms, which apply only to users who participate in the Salaamtix Referral Program.
- Salaamtix Fee: The per-ticket service fee charged by Salaamtix for paid Events, as set out on the Pricing Page.
- Ticket: A digital or physical confirmation of an Attendee's right to attend an Event, issued through the Platform.
- User / you / your: Any person who accesses or uses the Platform, including Event Organisers and Attendees.
3. ACCOUNT REGISTRATION AND ELIGIBILITY
3.1 Age Requirements
To create an account on the Platform, you must be at least 12 years of age. By registering, you confirm that you meet this minimum age requirement.
MINOR USERS (AGES 12 TO 17): If you are between 12 and 17 years of age, you must have the express consent of a parent or legal guardian before creating an account or purchasing any Ticket. By registering as a Minor User, you confirm that you have obtained such consent. Parents or guardians who become aware of a Minor User registering without consent should contact us immediately at admin@salaamtix.com.
Salaamtix reserves the right to require proof of parental or guardian consent at any time and may suspend or remove accounts where consent cannot be established.
3.2 Account Creation
You may register by completing the registration process and providing all required information accurately and truthfully. You represent and warrant that:
- (a) all information you provide during registration is accurate, current, and not misleading;
- (b) you will maintain and promptly update your account information;
- (c) you are not barred from using the Platform under any applicable law.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at admin@salaamtix.com if you become aware of any actual or suspected unauthorised access to your account. Salaamtix shall not be liable for any loss or damage arising from your failure to keep credentials secure.
3.4 Business Accounts
If you register on behalf of a legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.
4. PLATFORM PURPOSE AND COMMUNITY VALUES
4.1 Our Mission
Salaamtix is a purpose-built platform dedicated to creating an inclusive, safe, and welcoming space for values-led communities worldwide. Salaamtix exists to make it easier for organisers and attendees anywhere in the world to discover, organise, and attend events that reflect their values, culture, and identity, and to make ethical event ticketing accessible to everyone.
4.2 An Inclusive Environment
The Platform is designed to foster a sense of community, belonging, and cultural connection for users worldwide, and is open to organisers and attendees of all backgrounds, faiths, and communities. As a values-led platform, the nature of the Platform shapes the kinds of events and content appropriate for listing, as set out in the Event Guidelines.
4.3 Event Guidelines and Version Control
To maintain the integrity of the Platform, all Events must comply with our Event Guidelines.
The Event Guidelines form part of these Terms and are binding on all Event Organisers. Salaamtix will provide no less than 14 days’ written notice of any material changes to the Event Guidelines before such changes take effect. Material changes to the Event Guidelines are subject to the same notice requirements as modifications to these Terms under Section 15.
VERSION FREEZE: The version of the Event Guidelines in force at the time an Event is published on the Platform ('Listing Version') governs that Event for the duration of its listing period. Salaamtix will not remove or penalise an Event solely on the basis of Event Guidelines changes made after the Event was published, unless: (a) the change is required to comply with applicable law; or (b) the existing listing poses an imminent risk of harm to users, third parties, or the public.
By listing an Event, you confirm that you have read, understood, and agree to comply with the current version of the Event Guidelines.
4.4 Editorial Discretion
Salaamtix reserves the right, in its reasonable discretion, to reject, suspend, or permanently remove any Event listing, account, or content that it determines does not align with the purpose, values, or guidelines of the Platform.
Where Salaamtix exercises this right in relation to an active Event, Salaamtix will use reasonable endeavours to:
- (a) provide the Event Organiser with written notice specifying the alleged non-compliance;
- (b) allow a reasonable opportunity (not less than 48 hours for non-urgent matters) to remedy the non-compliance before removal; and
- (c) provide details of the appeals process set out in Section 4.5.
This clause does not limit Salaamtix’s right to remove content that is urgently harmful, illegal, or in serious breach of the Event Guidelines without prior notice. In such cases, the right to appeal under Section 4.5 remains available after removal.
Salaamtix’s exercise of editorial discretion does not create any liability for loss of revenue or damages suffered by any Event Organiser, provided Salaamtix acts in accordance with these Terms, including the appeals process in Section 4.5.
4.5 Event Removal Appeal Process
Any Event Organiser whose Event has been suspended or removed, or who has received notice of intended removal, has the right to appeal that decision as follows:
- (a) The Event Organiser must submit a written appeal to admin@salaamtix.com within 5 business days of receiving notice of removal or intended removal, setting out the grounds for the appeal;
- (b) Salaamtix will acknowledge receipt of the appeal within 5 business days;
- (c) A senior Salaamtix representative (not the individual who made the initial decision) will review the appeal;
- (d) Salaamtix will issue a written decision within 10 business days of receiving the appeal;
- (e) If Salaamtix determines on appeal that the removal was made in error, Salaamtix will reinstate the Event listing and, where commercially practicable, take reasonable steps to restore the status quo.
URGENT REMOVALS: Where an Event is removed on an urgent basis (illegal content, imminent harm), the right of appeal under this Section remains available after the removal has taken effect. The 5 business day appeal period runs from the date of the removal notice.
4.6 Content-Based Decisions and Anti-Discrimination
All decisions regarding the acceptance, rejection, suspension, or removal of Event listings are made on the basis of content compatibility with the Platform’s stated purpose and the Event Guidelines. Salaamtix does not make listing decisions on the basis of the personal characteristics, religious affiliation, sexual orientation, gender, race, or other protected attributes of individual Event Organisers or Attendees.
Salaamtix is a commercial entity and acknowledges its obligations under applicable anti-discrimination legislation, including the NSW Anti-Discrimination Act 1977 and the Sex Discrimination Act 1984 (Cth), and equivalent legislation in other jurisdictions where we operate. Nothing in these Terms or the Event Guidelines is intended to contravene these obligations. Content-based restrictions apply solely by reason of compatibility with the Platform’s stated purpose and the Event Guidelines, and not by reason of the identity of any person.
If you believe a decision has been made in a manner that is inconsistent with applicable anti-discrimination law, you may raise a complaint using the appeals process in Section 4.5 or contact us directly at admin@salaamtix.com.
5. EVENT ORGANISER TERMS
5.1 Self-Service Listings
Event Organisers may create and publish Event listings on the Platform on a self-service basis. By publishing an Event, you represent and warrant that:
- (a) you have the legal authority and all necessary rights, licences, consents, and permits to organise and promote the Event;
- (b) all information in your Event listing is accurate, truthful, current, and not misleading;
- (c) the Event complies with all applicable laws in the jurisdiction or jurisdictions in which it is held;
- (d) the Event complies fully with the Event Guidelines.
5.2 Organiser Responsibilities
Event Organisers are solely responsible for:
- (a) the planning, organisation, management, promotion, and delivery of their Events;
- (b) ensuring the health, safety, and wellbeing of all Attendees;
- (c) obtaining and maintaining all required licences, permits, and approvals;
- (d) providing accurate and complete information to Attendees;
- (e) honouring all commitments made to Attendees;
- (f) complying with all applicable tax obligations in connection with ticket sales.
5.3 Refunds and Cancellations
- (a) Each Event Organiser must establish and clearly communicate their own refund and cancellation policy to Attendees before purchase.
- (b) In the event of a cancellation, postponement, or material change, the Organiser is solely responsible for communicating this to Attendees promptly and for processing applicable refunds of the Ticket price in accordance with the applicable law.
- (c) Event Organisers acknowledge that, under consumer law, Attendees may be entitled to a refund of the Ticket price regardless of the Organiser’s stated policy where an Event is cancelled, not as described, or fails to meet consumer guarantees.
IMPORTANT: The Salaamtix Fee and all payment processing fees are NON-REFUNDABLE, including where an Event is cancelled or materially changed, except where a refund is required by applicable consumer law or where the system failure exception in Section 7.5 applies. See Section 7 for full details and carve-outs.
5.4 Prohibited Events
Event Organisers must not list any Event that violates the Event Guidelines. Salaamtix may remove any non-compliant Event in accordance with Sections 4.4 and 4.5. Repeated or material breaches of the Event Guidelines may result in suspension or permanent termination of the Organiser’s account.
5.5 Notification of Changes
If any material aspect of a published Event changes, the Event Organiser must promptly update the listing and directly notify all registered Attendees.
5.6 Charitable and Fundraising Events
Event Organisers running fundraising events must comply with all applicable charitable fundraising laws in each relevant jurisdiction and warrant that they hold all required licences and registrations.
5.7 Third-Party Tracking and Marketing Tools
The Platform allows an Event Organiser to connect their own third-party tracking, analytics, or advertising tool to their Event listings, for example by supplying their own Meta Pixel identifier. Where an Event Organiser chooses to connect such a tool:
- (a) the Event Organiser selects the tool, supplies their own account or pixel identifier, and determines the purposes for which the resulting data is used;
- (b) the Event Organiser is responsible for establishing a lawful basis for that processing, for making all disclosures required by applicable privacy, data protection, and electronic marketing law, and for obtaining any consent required before the tool is activated;
- (c) the third-party provider operates the tool and processes the resulting data under its own terms and privacy policy, independently of Salaamtix. Salaamtix has no control over, and no access to, that provider's subsequent use of the data;
- (d) Salaamtix does not configure the Event Organiser's tracking tools, does not receive their output, and does not use data collected through them for Salaamtix's own advertising, retargeting, or profiling purposes; and
- (e) the Event Organiser indemnifies Salaamtix under Section 12 in respect of any claim arising from the Event Organiser's use of such tools.
Salaamtix may suspend or disable an Event Organiser's tracking integration where Salaamtix reasonably believes it is being used unlawfully or without the disclosures or consents required by applicable law.
6. ATTENDEE / TICKET BUYER TERMS
6.1 Relationship Between Attendee and Organiser
When you purchase a Ticket through the Platform, you are entering into a contract directly with the Event Organiser, and NOT with Salaamtix. Please read Section 8 (Platform Safe-Harbour) carefully. Salaamtix is not a party to any contract between you and the Event Organiser and is not responsible for the performance of that contract.
6.2 Payment
Ticket prices and all applicable fees (including the Salaamtix Fee and any payment processing fee) will be clearly displayed before you complete your purchase. By completing a purchase, you agree to pay the total amount shown at checkout.
6.3 Non-Refundable Fees
PLEASE READ CAREFULLY: The Salaamtix Fee and all payment processing fees are non-refundable, including where an Event is cancelled, postponed, or materially changed by an Event Organiser, except where a refund is required by applicable consumer law or where the system failure exception in Section 7.5 applies. Only the base Ticket price (excluding all fees) may be refundable, subject to the Event Organiser’s refund policy and your rights under applicable law. Nothing in this Section limits your rights under Section 6.5.
6.4 Refund Requests
All refund requests relating to the Ticket price must be directed to the Event Organiser, and not to Salaamtix. Salaamtix has no obligation to process refunds on behalf of Event Organisers. Contact details are available in the relevant Event listing.
6.5 Australian Consumer Law Rights
Nothing in these Terms excludes, restricts, or modifies any rights, guarantees, or remedies you have under the ACL or any other applicable mandatory consumer protection legislation. Where there is any inconsistency between these Terms and your ACL rights, your ACL rights prevail. If you reside outside of Australia, these rights also apply to consumer laws within your country of origin.
6.6 Ticket Transfers
Tickets may only be transferred where expressly permitted by the Event Organiser’s stated policy. Salaamtix is not responsible for any disputes arising from ticket transfers.
6.7 Conduct
Attendees are expected to conduct themselves respectfully at all Events, and consistently with the standards set out in the Event Guidelines.
7. PAYMENT PROCESSING AND FEES
7.1 How Payments Work
Salaamtix does not directly hold, manage, or process ticket sale funds on behalf of Event Organisers. When you purchase a Ticket, the payment is processed by our third-party Payment Processor and transferred directly to the Event Organiser’s connected payment account. Salaamtix does not at any point hold, store, or have access to the funds collected for Ticket sales. The Salaamtix Fee is collected separately into Salaamtix’s own payment account.
7.2 Salaamtix Fee
For paid Events, Salaamtix charges a per-ticket service fee. The current fee structure is:
- (a) Standard rate: 2% + $0.99 AUD per paid ticket (the $0.99 differs depending on the currency, however the 2% remains consistent);
- (b) Tickets priced at $5.00 AUD or less: a 50% discount is automatically applied to the Salaamtix Fee.
Full details are available on the Pricing Page. The fee applicable to any given Event will be the fee in effect at the time of purchase.
7.3 Free Tickets
Salaamtix does not charge a fee for Free Tickets. Event Organisers may distribute up to 2,500 Free Tickets per calendar year at no cost.
7.4 Payment Processing Fees
A separate payment processing fee is charged by the Payment Processor directly. This fee is set and controlled by the Payment Processor and may vary by Attendee location, payment method, and currency. Indicative fees are available on the Pricing Page.
7.5 Non-Refundable Fees
The Salaamtix Fee and all payment processing fees are non-refundable. This applies whether or not an Event is cancelled, postponed, or materially changed. These fees represent the cost of services already provided. This Section is subject to the system failure exception below and to any refund required by applicable consumer law.
SYSTEM FAILURE EXCEPTION: This exception applies where a Ticket was purchased but was not successfully issued to the Attendee, and the failure was caused directly by a failure or error in Salaamtix’s own systems or services (and not by the actions of the Event Organiser, the Payment Processor, or the Attendee).
Where this exception applies, Salaamtix will first seek to remedy the failure by reissuing the Ticket and fulfilling the purchase. Salaamtix will have until the earlier of: (a) 14 days after the failure is reported to Salaamtix or is otherwise identified by Salaamtix; and (b) the scheduled start time of the Event, to reissue the Ticket and fulfil the purchase.
If Salaamtix does not reissue the Ticket and fulfil the purchase within that period, the Salaamtix Fee will be refunded to the Attendee.
Nothing in this clause limits any statutory rights available under the relevant consumer law, including any right an Attendee may have to elect a refund rather than a reissued Ticket where the failure amounts to a major failure under that law.
7.6 Organiser Fee Options
Event Organisers may choose to absorb the Salaamtix Fee or pass it on to Attendees as a separate line item at checkout.
7.7 Supported Currencies and Regions
The Platform currently supports payments in currencies and regions where our Payment Processors operate. Salaamtix is not responsible for any inability to process payments in regions not currently supported by our Payment Processors. Salaamtix intends to expand coverage to additional regions over time.
7.8 Third-Party Payment Processors
Salaamtix may add, change, or remove Payment Processors at any time. Your use of any Payment Processor is subject to that processor’s own terms and privacy policy. Salaamtix is not responsible for the acts or omissions of any Payment Processor.
7.9 Taxes
Event Organisers are solely responsible for determining, collecting, and remitting all applicable taxes on Ticket sales, including GST (where applicable in Australia). Salaamtix does not collect or remit taxes on behalf of Event Organisers. By listing an Event on the Platform, Event Organisers warrant that they have accurately fulfilled their GST obligations.
GST / ELECTRONIC DISTRIBUTION PLATFORM: Notwithstanding the foregoing, where Salaamtix is required by applicable law (including the Electronic Distribution Platform rules under Division 84 of the A New Tax System (Goods and Services Tax) Act 1999 (Cth)) to collect and remit GST on supplies made through the Platform, Salaamtix reserves the right to: (a) collect such GST from Attendees at the point of purchase; and/or (b) deduct applicable GST amounts from amounts otherwise payable to the relevant Event Organiser.
7.10 Anti-Money Laundering and Financial Integrity
By listing an Event or using the Platform to process payments, Event Organisers represent and warrant that:
- (a) all ticket sales conducted through the Platform are for genuine, lawful events and will not be used for money laundering, tax evasion, fraud, terrorist financing, or any other illegal financial activity;
- (b) they have complied with all applicable anti-money laundering and counter-terrorism financing laws in each jurisdiction in which they operate, including (where applicable) the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth);
- (c) they will promptly notify Salaamtix if they become aware of any actual or suspected illegal financial activity connected to their Event listings.
Salaamtix reserves the right to suspend or remove any Event, withhold funds, and report suspicious activity to relevant authorities where it has reasonable grounds to suspect a breach of this clause.
8. PLATFORM SAFE-HARBOUR AND INTERMEDIARY STATUS
8.1 Salaamtix is an Intermediary Technology Platform, Not a Ticket Vendor
SALAAMTIX IS NOT THE SELLER OF TICKETS.
Salaamtix is a technology intermediary. The legal contract for the purchase of any Ticket is formed directly and exclusively between the Attendee and the Event Organiser. Salaamtix is not a party to that contract, does not sell tickets on its own behalf, and is not responsible for the performance, cancellation, or failure of any Event.
For absolute clarity, Salaamtix’s role is limited exclusively to:
- (a) providing the technology infrastructure that enables Event Organisers to create, manage, and publish Event listings;
- (b) providing the technology infrastructure that enables Attendees to discover Events and purchase Tickets; and
- (c) facilitating the connection between Attendees and Payment Processors for the purpose of processing ticket payments.
8.2 Salaamtix is Not an Agent
Salaamtix does not act as agent, principal, employer, partner, joint venturer, employee, representative, or fiduciary of any Event Organiser or Attendee in connection with any Event or Ticket transaction. Nothing in these Terms, in any Event listing, or in the appearance of the Salaamtix name or branding in connection with an Event shall be construed as creating any agency or representative relationship between Salaamtix and any Event Organiser for the purpose of the Salaamtix ticketing function.
8.3 Salaamtix Does Not Organise, Control, or Supervise Events
Salaamtix does not own, create, produce, organise, promote, supervise, control, manage, or participate in any Event listed on the Platform. The Event Organiser is the sole provider of each Event. Salaamtix’s listing of an Event on the Platform is not an endorsement of, or representation about, the quality, safety, legality, or accuracy of any Event.
8.4 Branding Does Not Create Vendor Status
Neither the listing of an Event on the Platform, nor the issuance of a Ticket through the Platform, nor the display of the Salaamtix name, logo, or branding on a Ticket, Event confirmation, email, or any other communication shall be construed as Salaamtix being the seller, provider, or organiser of the Event, or as creating any liability of Salaamtix in relation to the Event or the Ticket.
8.5 Attendee Remedies are Against the Event Organiser
All claims, complaints, refund requests, and remedies arising from an Event including cancellation, non-delivery, misrepresentation, personal injury, property damage, or any other cause should be directed to the Event Organiser.
8.6 Salaamtix’s Service is the Platform, Not the Event
The service provided by Salaamtix to both Event Organisers and Attendees is the provision of access to the Platform technology. Salaamtix’s consumer guarantee obligations under the ACL (if any) relate solely to the Platform technology services, and not to the Events themselves, the content of any Event, or the conduct of any Event Organiser.
8.7 Third-Party Content Disclaimer
All Event listings, descriptions, images, and other content submitted to the Platform by Event Organisers are the sole responsibility of those Event Organisers. Salaamtix has no obligation to verify the accuracy, completeness, or legality of Event Organiser content, except to the extent set out in the Event Guidelines. Salaamtix’s right to moderate content under Section 4.4 does not make Salaamtix a creator or publisher of that content.
9. INTELLECTUAL PROPERTY
9.1 Salaamtix Intellectual Property
All intellectual property rights in the Platform, including its design, code, databases, trademarks, logos, and all content created by Salaamtix, are owned by or licensed to Salaamtix Pty Ltd. You must not copy, reproduce, adapt, distribute, or create derivative works of any Salaamtix intellectual property without our prior written consent.
9.2 Your Content
By submitting content to the Platform (including Event listings, descriptions, and images), you retain ownership of that content and grant Salaamtix a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, display, distribute, and promote that content for the purposes of operating and promoting the Platform and our Services. This licence continues while the content remains on the Platform.
9.3 Content Warranties
You warrant that any content you submit does not infringe the intellectual property rights of any third party, does not contain any defamatory or unlawful material, and complies with all applicable laws.
9.4 Reporting Infringing Content
If you believe that content on the Platform infringes your intellectual property rights, you may notify us at admin@salaamtix.com. Your notice should identify the content, identify the right you say is infringed, describe the basis of your claim, and provide your contact details. Salaamtix will review notices it receives and may remove or disable access to content that it reasonably considers infringing. Where content is removed, the affected Event Organiser may respond using the appeals process in Section 4.5.
9.5 Feedback
Any feedback, suggestions, or ideas you provide to Salaamtix may be used freely without obligation to compensate you.
10. PRIVACY AND DATA
Salaamtix collects, uses, stores, and discloses personal information in accordance with our Privacy Policy. Salaamtix complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles, and endeavours to comply with applicable privacy laws in other jurisdictions where users are located, including the GDPR where applicable.
Event Organisers who collect personal information from Attendees through the Platform are independently responsible for complying with all applicable privacy laws. Event Organisers must not use Attendee personal information for any purpose beyond administering their Events without obtaining appropriate consent.
11. DISCLAIMER AND LIMITATION OF LIABILITY
11.1 Platform as Intermediary Facilitator
Salaamtix is a technology platform that facilitates connections between Event Organisers and Attendees. Salaamtix is not an event organiser, event promoter, venue operator, or participant in any Event unless explicitly stated (e.g. Sponsoring an event for marketing purposes). For the avoidance of doubt, please refer to Section 8 (Platform Safe-Harbour) which sets out Salaamtix’s role in full.
11.2 No Warranty
To the maximum extent permitted by applicable law, the Platform and all Services are provided on an “as is” and “as available” basis without any warranty of any kind, express or implied. Salaamtix does not warrant that the Platform will be available uninterrupted or error-free, that any Event will take place as described, or that Event Organiser content is accurate.
11.3 Exclusions from Liability
To the maximum extent permitted by applicable law (including the ACL), Salaamtix, its officers, directors, employees, agents, contractors, and affiliates shall not be liable for:
- (a) any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or attendance at any Event;
- (b) any loss of profits, revenue, business opportunity, data, or goodwill;
- (c) any physical harm, injury, illness, death, or property damage occurring at or in connection with any Event;
- (d) any cancellation, postponement, material change, or failure to deliver an Event;
- (e) any acts, omissions, errors, or service interruptions of any Payment Processor;
- (f) any failure, interruption, or delay of the Platform arising from circumstances beyond our reasonable control.
11.4 Carve-Outs from Liability Exclusion
Nothing in these Terms limits or excludes Salaamtix’s liability for:
- (a) fraud or fraudulent misrepresentation;
- (b) death or personal injury caused by Salaamtix’s own negligence;
- (c) gross negligence or wilful misconduct by Salaamtix;
- (d) any liability that cannot be limited or excluded under applicable law, including mandatory consumer guarantees.
Salaamtix does not attempt to limit or exclude its liability in relation to any of the matters listed in (a)–(d) above. Any clause in these Terms that might be read to do so is to be read subject to this Section 11.4.
11.5 Cap on Liability
Subject to Section 11.4, where Salaamtix’s liability cannot be fully excluded, our total aggregate liability to you in connection with any claim arising from these Terms, the Platform, or the Services shall not exceed the greater of:
- (a) the total Salaamtix Fees paid by you in the twelve (12) months preceding the circumstances giving rise to the claim; or
- (b) AUD $100.
12. INDEMNIFICATION
You agree to indemnify Salaamtix Pty Ltd, its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, losses, damages, penalties, costs, and expenses arising out of or related to:
- (a) your access to or use of the Platform;
- (b) any Event you organise, promote, or list on the Platform, including any claim brought by an Attendee;
- (c) your breach of these Terms or the Event Guidelines;
- (d) your violation of any applicable law or the rights of any third party;
- (e) any content you submit to the Platform.
This indemnification obligation does not apply to the extent that any loss, claim, or liability arises from or is contributed to by: (a) Salaamtix’s own fraud, gross negligence, or wilful misconduct; (b) Salaamtix’s breach of these Terms; or (c) any matter for which Salaamtix cannot be indemnified under applicable law.
13. TERMINATION AND SUSPENSION
13.1 Termination by You
You may delete your account at any time. Closing your account does not affect any obligations that arose before termination, including payment obligations.
13.2 Termination or Suspension by Salaamtix
Salaamtix reserves the right to suspend or terminate your account, or remove any Event listing, at any time where Salaamtix reasonably determines that:
- (a) you have breached these Terms or the Event Guidelines;
- (b) your conduct is harmful to the Platform, other users, or the communities we serve;
- (c) you have provided false, inaccurate, or misleading information;
- (d) your account or activities present a legal, regulatory, or reputational risk;
- (e) suspension or termination is required by law.
Where practicable and where no urgent harm, legal obligation, or serious breach is involved, Salaamtix will provide the Event Organiser with reasonable written notice before removing an active Event listing, including the reasons for the action and a reference to the appeals process in Section 4.5.
13.3 Effect of Termination
On termination of your account: your right to access the Platform ceases immediately; any live Event listings may be removed; all accrued obligations (including outstanding fees) remain in force; and Salaamtix may retain records as required by law.
13.4 Survival
Sections 8 (Platform Safe-Harbour), 9 (Intellectual Property), 10 (Privacy and Data), 11 (Disclaimer and Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 16 (General Provisions) survive termination, together with any accrued payment obligations under Section 7 and any other provision which by its nature is intended to survive.
14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 Governing Law
These Terms are governed by and shall be construed in accordance with the laws of New South Wales, Australia. Both parties submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any dispute.
Nothing in this Section deprives a consumer of the protection afforded to them by mandatory provisions of the law of the country in which they are habitually resident, including any right that a consumer may have to bring proceedings in, or to have a dispute determined under the law of, the courts of their own country of residence.
14.2 International Users
If you access the Platform from outside Australia, you are responsible for compliance with all applicable local laws. Subject to Section 14.1, these Terms continue to be governed by the laws of New South Wales regardless of where you access the Platform from.
14.3 Dispute Resolution Process
In the event of a dispute arising out of or in connection with these Terms or your use of the Platform:
- (a) The party raising the dispute must first notify the other party in writing, describing the nature of the dispute and the resolution sought;
- (b) The parties will attempt to resolve the dispute by good faith negotiation within 20 business days of that notification;
- (c) If the dispute is not resolved by negotiation, either party may refer it to mediation administered by the Australian Disputes Centre (ADC) or another agreed independent mediator, with the costs of mediation to be shared equally;
- (d) If mediation fails, either party may pursue the matter through the courts of New South Wales, Australia.
Nothing in this Section prevents either party from seeking urgent interlocutory or injunctive relief, taking any action necessary to preserve a limitation period, or exercising any statutory right or accessing any statutory complaints body or ombudsman scheme that cannot lawfully be restricted.
15. MODIFICATIONS TO THESE TERMS
Salaamtix reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting an updated version on the Platform and, where practicable, by email to your registered address.
For Event Organisers with active Events at the time of a material change, we will provide at least 14 days’ notice before the change takes effect. This 14-day notice obligation applies equally to material changes to these Terms and to material changes to the Event Guidelines. For the avoidance of doubt, the version freeze protection in Section 4.3 applies to Event Guidelines changes. Changes made after an Event is published will not be applied retrospectively to remove or penalise that Event, except as provided in Section 4.3.
Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must cease using the Platform before the effective date.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms, together with the Event Guidelines and Privacy Policy, and (where you participate in the Salaamtix Referral Program) the Referral Program Terms, constitute the entire agreement between you and Salaamtix in relation to your use of the Platform and supersede all prior communications, representations, and agreements.
16.2 Severability
If any provision of these Terms is found unlawful, void, or unenforceable, that provision shall be severed from the remaining provisions, which shall continue in full force and effect.
16.3 No Waiver
Salaamtix’s failure to enforce any right or provision on any occasion shall not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign your rights or obligations under these Terms without Salaamtix’s prior written consent. Salaamtix may freely assign its rights and obligations, including in connection with a merger, acquisition, or sale of assets.
16.5 Force Majeure
Salaamtix shall not be liable for any failure or delay in performing its obligations where such failure or delay is caused by events beyond its reasonable control, including natural disasters, pandemic or epidemic, government-mandated restrictions, war, civil unrest, or failures of third-party infrastructure or service providers. This clause does not excuse Salaamtix from obligations that could have been performed notwithstanding the force majeure event.
For the avoidance of doubt, this force majeure clause does not apply to: (a) failures or delays caused by or materially contributed to by Salaamtix’s own negligence, fraud, or wilful misconduct; or (b) failures of Salaamtix’s own systems, infrastructure, or services that could have been prevented by reasonable and prudent maintenance, security, and operational practices.
16.6 Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between the parties.
